Terms and Conditions

Please read these terms of sale carefully. You agree to these terms of sale when you order products from our website.

Interpretation

In these terms of sale, “we” means “ Ripe Coffee Company Ltd” (and “us” and “our” will be construed accordingly); and “you” means our customer or potential customer for products (and “your” will be construed accordingly).

Order process

The advertising of products on our website constitutes an “invitation to treat”; and your order for products constitutes a contractual offer. No contract will come into force between you and us until we accept your order in accordance with the procedure detailed below.

In order to enter into a contract to purchase products from us, you will need to take the following steps: 
We will not file a copy of these terms of sale specifically in relation to your order. We may update the version of these terms of sale on the website from time to time, and we do not guarantee that the version you have agreed to will remain accessible. We therefore recommend that you download, print and retain a copy of these terms of sale for your records.

The only language in which we provide these terms of sale is English.

Deliveries will be made to a physical New Zealand address only (no PO Boxes).

All orders will be processed Monday – Friday 7:00am – 3:30pm. Your delivery will usually arrive between 1-4 business days from the day your order is shipped. If an Order has not arrived after this time, please let us know and we will trace your parcel. Shipment of all items from this website will also be subject to the terms and conditions of the relevant delivery company used.

Price and payment

Prices for products are quoted on our website INCLUSIVE of GST. The website contains a number of products and it is always possible that some of the prices on the website may be incorrect. We will verify prices as part of our sale procedures so that a product’s correct price will be stated on your invoice for your order.

In addition to the price of the products, you will have to pay a delivery charge, which will be as stated when you pay for the product.

Your warranties

You warrant to us that:

(a) you are legally capable of entering into binding contracts, and you have full authority, power and capacity to agree to these terms of sale;

(b) the information provided in your order is accurate and complete;

Delivery policy

We will arrange for the products to be delivered to the address for delivery indicated in your order.

Pricing

All pricing is in New Zealand Dollars and INCLUSIVE of GST of 15%. Ripe Coffee Comapny Ltd has the right to change pricing without notice.

You acknowledge that despite our reasonable precautions, goods may be listed at an incorrect price or with information (including as to their availability) that is materially incorrect due to an error or oversight. In these circumstances, we reserve the right to cancel the transaction notwithstanding that your order has been confirmed or otherwise accepted, without compensation to you. We will refund or provide a credit to you for the purchase price of the product in question if payment has been made.

Payment Methods

Credit Card / Debit Card through secure online payment portal.

Our Guarantee

We provide our customers with the highest quality merchandise and customer service. If you are not completely satisfied with your items contact Customer Services on (04) 586-2245 (option 2 / Office) within 5 days of receiving your order and they will inform you if you may return them for a refund, exchange, or store credit. This return may come at your own cost and/or may involve a return fee depending on the nature of the return. Non-consumable returned items must be unused, in their original condition and their original packaging.

Risk AND Title

Ownership and legal and equitable title to the goods will pass to the customer upon receipt of payment in full by Ripe coffee Company Ltd.

Risk of any loss, damage or deterioration of or to any goods purchased from this website passes to the customer on delivery to the delivery company.

Consumer Guarantees Act/Warranty

If you purchase the goods, or have indicated that the purchase of the goods is, for the purposes of a business, the provisions of the Consumer Guarantees Act 1993 (Act) will not apply. If you are acquiring the goods for purposes other than for business, nothing in these Terms and Conditions of Sale limits, in any way, the terms of the Act.

Subject to the Act:

Goods supplied will be subject to the terms and conditions of the warranties and the guarantees provided by their respective manufacturer’s warranty; and to the extent allowed by applicable law, all conditions, descriptions, representations, warranties and guarantees, whether express or implied, by statute, trade or otherwise, in relation to the goods is expressly excluded.

Limitation of Liability and Indemnity

Subject to the above clause, the liability of the Company for the loss or damage or injury arising directly or indirectly from any defect of the goods supplied through this website is limited to replacement or repair of the goods, or to damages not exceeding the price of such defective goods at the option of Ripe Coffee Company Ltd. We shall not be liable for any loss, damage, or injury caused by improper or incorrect operation or use of the goods supplied. We shall not be liable for any consequential indirect or special damage or loss of any kind whatsoever.

The customer shall indemnify us, our employees, officers, agents and contractors from and against any loss, costs, claims, damages, expenses (including legal costs and expenses on a solicitor/client basis), liabilities, proceedings or demands, whether direct or indirect, incurred or suffered by any of them as a result of your improper or incorrect use or care of the goods.

Information and Privacy Act

For the purposes of facilitating the efficient running of our business, you authorise us:

to collect all information we may require from any third parties and authorise those third parties to release that information to us; 
to hold all information given by you or any third parties to us; 
and to use that information, including giving information to any other person to facilitate collection of debts from you. 
The information will be collected, held and used on the condition that:

it will be held securely on Ripe Coffee Company Ltd’s systems; 
it will be accessible to any of Ripe Coffee Company Ltd’s employees who need access to it for the efficient running of Ripe Coffee Company  Ltd’s business; 
and the customer may request access to and correction of it at any time. 


General

We reserve the right to amend these Terms of Sale at any time. Any goods supplied or sold by us, are governed by these Terms of Sale in accordance with New Zealand law.

If any provision of these Terms of Sale shall be invalid, void, illegal or unenforceable the validity, existence, legality and enforceability of the remaining provisions shall not be affected.
